1. Introduction
Welcome to Hostan Design Concepts (U) Ltd (“we”, “us”, “our”). These Terms & Conditions (“Terms”) govern your access to and use of our website at hostandesignconcepts.com (“Website”) and our services (website design, graphic design, training, hosting, etc). By using the Website or engaging our services, you agree to these Terms.

2. Services Provided
We offer various services, including but not limited to:

• Website development and hosting packages.
• Graphic design services.
• Training in website design, graphic design, and computer applications.
• Other related digital design or hosting services.
  We will describe the specific scope, deliverables, timelines, price, and support in our separate proposal/quotation.

3. Quotations, Orders & Payment

• All quotations given remain valid for the period specified (or a reasonable period if none specified).
• Once you accept a quotation and we provide a service contract/order form, you become a “Client”.
• Payment terms will be as stated in the quotation or contract (e.g., deposit up front, milestone payments, final payment upon delivery).
• For hosting and recurring services, you agree to pay on the recurring schedule (monthly/annually).
• We reserve the right to suspend or terminate services if payment is overdue.

4. Intellectual Property & Licensing

• Unless otherwise agreed in writing, upon full payment, we grant you a non-exclusive, worldwide license to use the deliverables (website, graphics, etc) for your business purposes.
• We retain ownership of the original design files, templates, and tools that are custom or proprietary to us.
• You agree not to reverse engineer, resell, or redistribute our proprietary tools without our permission.
• You warrant that any materials you provide (texts, images, logos, etc) do not infringe third-party rights, and you indemnify us against any claims arising from that.

5. Client Responsibilities

• You will provide us with timely and accurate information, materials, and decisions required to perform the services.
• If you delay or fail to perform your obligations, we may charge for additional time or extend deadlines.
• You agree to use our service (and deliverables) in compliance with applicable laws (including copyright, data protection, e-commerce, etc).

6. Support, Maintenance & Hosting

• Hosting and support services (if included) will be as described in the quotation (e.g., 6 months free, 1 year free, etc).
• After the free support period expires, you may need to contract separately for maintenance.
• We are not responsible for downtime or hacks caused by the client’s modifications, third-party plug-ins, or external services.

7. Termination

• Either party may terminate the contract by providing written notice if the other party materially breaches the Terms and fails to remedy within a reasonable time.
• Upon termination, you will pay for work performed until the termination date.
• We may suspend or terminate services immediately if you breach these Terms, engage in illegal activity, or damage our reputation.

8. Limitation of Liability & Disclaimer

• We will use reasonable skill and care in providing services. However, we do not guarantee any particular result (e.g., specific website ranking in search engines).
• To the maximum extent permitted by law, we are not liable for any indirect, incidental, special, or consequential losses (including loss of profit, data or business interruption).
• Our total liability under these Terms shall in no event exceed the fees paid by you for the specific service giving rise to the claim.

9. Changes to Website / Terms

• We reserve the right to modify or discontinue the Website (or parts of it) at any time without notice.
• We may update these Terms from time to time. By continuing to use the Website or our services, you accept the updated Terms. We encourage you to review them periodically.

10. Governing Law & Jurisdiction
These Terms are governed by the laws of Uganda. Any dispute shall be subject to the exclusive jurisdiction of the courts of Uganda.

11. Severability
If any provision of these Terms is found to be invalid or unenforceable by a court of competent jurisdiction, the remaining provisions shall remain in full force and effect.

12. Entire Agreement
These Terms, together with any service contract, quotation or order form, constitute the entire agreement between you and us concerning your purchase of services from us, and supersede all prior agreements or understandings.
